1. Introduction
Welcome to ProxGate (“Platform”, “Service”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the ProxGate software licensing management platform, including all related services, applications, APIs, and websites.
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not use the Platform.
2. Definitions
- “Tenant” refers to an individual or company entity that has registered an account on the Platform.
- “User” refers to any person authorised by a Tenant to access the Platform.
- “License” refers to software license keys generated and managed through the Platform.
- “End User” or “Customer” refers to individuals or entities that receive Licenses from a Tenant.
- “API” refers to the application programming interfaces provided by the Platform for integration purposes.
- “Subscription Plan” refers to the tier of service selected by the Tenant (Start, Pro, or Enterprise).
3. Account Registration
3.1 Eligibility
You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Platform. If registering as a company, you must be duly authorised to act on behalf of that entity.
3.2 Account Types
The Platform supports two types of accounts:
- Private Individual: For personal or sole proprietor use. The account holder is personally responsible for all obligations under these Terms.
- Company: For business entities. The company is the legal entity responsible for the account. A valid company name and, where applicable, registration number and VAT number must be provided. The person registering warrants they have authority to bind the company.
3.3 Accuracy of Information
You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. Providing false or misleading information may result in immediate termination of your account.
3.4 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys. You agree to notify us immediately of any unauthorised use of your account. We are not liable for any loss arising from unauthorised access to your account.
4. Subscription and Payment
4.1 Plans and Pricing
The Platform offers multiple subscription tiers with varying features and usage limits. Current pricing and plan details are available on our website. We reserve the right to modify pricing with 30 days' prior notice to active subscribers.
4.2 Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected billing cycle). All fees are exclusive of taxes unless otherwise stated. You are responsible for any applicable taxes.
4.3 Cancellation and Refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods unless required by applicable law.
5. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
- Distribute malware, viruses, or any other harmful code through the Platform.
- Attempt to gain unauthorised access to any part of the Platform, its servers, or databases.
- Use the Platform to infringe upon the intellectual property rights of others.
- Reverse engineer, decompile, or disassemble any part of the Platform.
- Use automated means (bots, scrapers) to access the Platform beyond the provided APIs.
- Resell, sublicense, or redistribute access to the Platform without prior written consent.
- Exceed the usage limits of your subscription plan through circumvention or manipulation.
6. Intellectual Property
6.1 Platform Ownership
The Platform, including its design, features, code, documentation, logos, and branding, is owned by ProxGate and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without express permission.
6.2 Your Content
You retain ownership of all data, content, and configurations you upload or create on the Platform. By using the Platform, you grant us a limited license to process, store, and display your content as necessary to provide the Service.
7. Data Protection and Privacy
7.1 Data We Collect
We collect and process personal data necessary for the operation of the Platform, including but not limited to: account registration details, usage data, API logs, license activation records, and payment information. For company accounts, this may include company name, registration number, and VAT number.
7.2 Data Processing
We process personal data in accordance with applicable data protection laws, including the Protection of Personal Information Act (POPIA) and the General Data Protection Regulation (GDPR) where applicable. Your data is used solely for the purpose of providing and improving the Service.
7.3 Data Security
We implement industry-standard security measures to protect your data, including encryption at rest and in transit, access controls, and regular security audits. However, no method of transmission over the internet is 100% secure.
7.4 Data Retention
We retain your data for as long as your account is active or as needed to provide services. Upon account termination, we will delete or anonymise your data within 90 days, except where retention is required by law.
7.5 Your Rights
Subject to applicable law, you have the right to access, correct, delete, or export your personal data. You may also object to or restrict certain processing activities. To exercise these rights, please contact our support team.
8. API Terms of Use
Access to our APIs is subject to rate limits and usage quotas as defined by your subscription plan. You agree to use the APIs responsibly and in accordance with our API documentation. We reserve the right to throttle or suspend API access in the event of abuse or excessive usage.
API keys are confidential and should be treated with the same level of security as passwords. Sharing API keys with unauthorised third parties may result in account suspension.
9. Limitation of Liability
To the maximum extent permitted by law, ProxGate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Platform.
Our total liability for any claim arising from these Terms or the use of the Platform shall not exceed the amount paid by you in the twelve (12) months preceding the claim.
10. Warranties and Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will be error-free, secure, or uninterrupted.
11. Indemnification
You agree to indemnify and hold harmless ProxGate, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any rights of a third party.
12. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, your right to access the Platform ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
13. Changes to These Terms
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or through a notice on the Platform at least 14 days before they take effect. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.
